TERMS AND CONDITIONS.
1. About us
These terms and conditions apply to every quotation, agreement and service delivered by Virtual Market Up, registered with the Dutch Chamber of Commerce (KVK) under number 75850591, VAT number NL002353319B55, registered at Papaverweg 34, 1032 KJ Amsterdam, The Netherlands. You can reach us at info@virtualmarketup.com or +31 6 49558834.
2. What these terms cover
These terms apply to all quotes, proposals, orders and agreements between Virtual Market Up and a client, whether for a one-off project or an ongoing monthly partnership, unless we have agreed something different with you in writing.
3. Quotes and agreements
Quotes are valid for 30 days unless stated otherwise and are free of obligation until both parties confirm the agreement in writing or by email. An agreement is formed once we confirm your order, or once we start work at your request, whichever comes first.
4. Pricing
Monthly partnerships start from €1,500 per month, excluding VAT. The exact scope and investment for your business is set out in a written proposal after a discovery call, and depends on the services, volume and complexity involved. All prices we quote are in euros and exclude VAT unless stated otherwise.
5. Payment terms
Monthly partnerships are invoiced in advance, at the start of each month, with a payment term of 14 days unless agreed otherwise. One-off projects are invoiced according to the milestones set out in the proposal. If a payment is not received within the payment term, we may suspend work until the outstanding amount is settled, after giving you reasonable notice.
6. Duration and cancellation
Monthly partnerships run for a minimum initial term stated in your proposal, and continue on a rolling monthly basis after that. Either party can cancel a rolling partnership with one calendar month’s written notice, sent by email. One-off projects end once the agreed deliverables have been completed and accepted.
7. Ownership and intellectual property
Once your invoices are paid in full, you own the deliverables created specifically for you: your website, webshop, brand assets, content and any custom software we build for you, including hosting accounts and logins set up in your name. Third-party tools, licensed stock assets and our own internal tools, templates and know-how remain our property or that of the relevant licensor.
8. Your responsibilities
You agree to provide accurate information, timely feedback and any access, content or approvals we reasonably need to deliver the work, and to hold any rights needed for material you provide to us.
9. Liability
We deliver our services with care and to a professional standard. Our liability for any direct damage arising from our services is limited to the amount you paid us for the service in question in the three months before the event, unless the damage is caused by our intent or gross negligence. We are not liable for indirect or consequential damage, including lost profit or lost data, except where Dutch law does not allow such a limitation.
10. Confidentiality
Both parties will treat confidential information they receive from the other party with care, and will not share it with third parties except where needed to deliver the agreed services or where required by law.
11. Force majeure
Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control, for as long as those circumstances continue.
12. Changes to these terms
We may update these terms from time to time. The version published on this page at the time of your agreement applies to that agreement. We will let existing clients know about material changes.
13. Complaints and governing law
If you are not happy with our services, please contact us at info@virtualmarketup.com so we can resolve it together. These terms are governed by Dutch law, and disputes will be submitted to the competent court in the district where Virtual Market Up is registered, unless mandatory law provides otherwise.
